These Terms and Conditions govern your use of the PA Distance Learning Charter School (“PA Distance”, “we”, “us”, “our”) website (“padistance.org”) and its associated subdomains (collectively, the “Site”). By accessing or using our Site, you agree to be bound by these Terms and Conditions. If you do not agree, you must refrain from using the Site.  You should print or retain a copy of these Terms and Conditions for your records. Please note, however, that these Terms and Conditions may be updated and amended by us from time to time as provided herein.

Informational Use Only

The content on the Site is provided for general informational purposes. It is intended primarily for prospective families, stakeholders, and the general public to learn more about PA Distance Learning Charter School and to access required public notices and policies. This Site does not host or manage academic services or student portals.

However, you may not, without our prior written permission, frame or inline link any of the content of the Sites, scrape the Site or incorporate into another website or other service any of our material, content or intellectual property.

Site Registration Process

If you would like to register on our Site, you may be asked to register with us on the form provided and such registration may require you to provide personal information such as your name, physical address, e-mail address and phone number. You agree to provide true, accurate, current and complete information about yourself as prompted by the Site's registration form. If we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). Responsibility For Your Username And Password

To use certain features of our Site, you will need a user name and password, which you will select through the Site’s registration process. We reserve the right to reject or terminate the use of any username that we deem offensive or inappropriate. It is a violation of these Terms and Conditions to share this username or password with any other person.  In addition, we also reserve the right to terminate the use of any username or account, or to deny access to the Site or any features of the Site, to anyone who violates these Terms and Conditions or who, in our sole judgment, interferes with the ability of others to enjoy our website or infringes the rights of others. You are responsible for maintaining the confidentiality of your password and account, and are responsible for all activities (whether by you or by others) that occur under your password or account. You agree to notify us immediately of any unauthorized use of your password or account or any other breach of security, and to ensure that you exit from your account at the end of each session. We cannot be liable for any loss or damage arising from your failure to protect your password or account information.

Children’s Online Privacy

PA Distance does not knowingly collect personally identifiable information from children under the age of thirteen (18), and the Site is not directed at children under the age of thirteen (18).  If you are subject to additional or different age requirements for disclosure of personal information based on your state, province or country of residency, you hereby represent that your use of the Sites is not in violation of the laws or regulations of your state, province or country of residency.

Changes to the Website or Terms

We may amend or update the website or these Terms and Conditions at any time without prior notice. Any changes to the website or these Terms and Conditions will be effective immediately upon posting or as otherwise required by applicable law.  Your continued use of the site after changes are posted constitutes acceptance of the updated terms.  Any amendment to these Terms and Conditions by you must be agreed to by us in writing.

Limitation of Liability

We provide the Site as an online service provider; we are not responsible for any loss or injury whatsoever due to content or information published by or through this Site. The Site may be unavailable due to maintenance or other factors and we will have no liability for any such unavailability. We will also not have any liability for any loss of data, degraded data, old or outdated data, or errors in data resulting from non-deliveries, mis-deliveries or service interruptions caused by us, any third-party acts or any other web/portal host provider or the Internet infrastructure and network external to the Site. The limitations of liability provided in these Terms and Conditions inure to our benefit and to the benefit of our affiliated entities, and to all of our respective officers, directors, employees and agents.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUE, REGARDLESS OF WHETHER WE KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS AND CONDITIONS EXCEED $50.  Some jurisdictions do not allow excluding or limiting implied warranties or limiting liability for incidental or consequential damages, and some jurisdictions have special statutory consumer protection provisions which may supersede the foregoing disclaimers and limitations. Termination

We may, in our sole discretion and at any time, discontinue the Site, either in part or in whole, with or without notice. You agree to indemnify, defend and hold us harmless from and against any and all claims, demands, actions, costs, liabilities, losses and damages of any kind (including attorneys' fees) resulting from: (i) your use of the Site; (ii) your breach of any provision of these Terms and Conditions; and/or (iii) any intentional wrongdoing by you.

Assignment

You will not have the right to assign or transfer your rights under these Terms and Conditions to any other person or entity without our prior written consent, which consent may be withheld for any reason or for no reason. Furthermore, you acknowledge and agree that your access to and use of the Site may not be sublicensed or otherwise transferred voluntarily or by operation of law to any third party. Any attempted assignment, license, sublicense or transfer by you, whether voluntary or involuntary, is void and grounds for termination of your rights under these Terms and Conditions.

If any provision of these Terms and Conditions shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable materials. Specifically, you agree to comply with all applicable laws regarding the transmission of technical or other data exported from the United States or the country in which you reside. These Terms and Conditions, and any web pages or other documents incorporated by reference, set forth the entire understanding and agreement between us with respect to the subject matter hereof.

Governing Law

You recognize that, although the Internet can be accessed from anywhere in the world, the Site is located in the Commonwealth of Pennsylvania, United States of America, and that when you access the Site, you are doing so in the Commonwealth of Pennsylvania, United States of America. These Terms and Conditions shall be governed by and interpreted in accordance with the internal substantive laws of the Commonwealth of Pennsylvania without giving effect to any principles of conflict of law.
